RingCentral will pay $125 million in 3% redeemable preferred equity, convertible at $16 a share, and a $375 million advance for expected costs and licensing rights.</span></p><p><span style="font-size:12pt;">The </span><a href="https://www.barrons.com/articles/avaya-stock-ring-central-soar-as-new-partnership-solves-both-their-problems-51570209464"><span style="font-size:12pt;">transaction</span></a><span style="font-size:12pt;"> is expected to close this quarter, subject to customary closing conditions and regulatory approvals.</span></p></div>

Avaya enterprise customers now will have access to a modern cloud communications platform. Secondly, we are able to leverage Avaya’s extensive global go-to-market ecosystem, which includes over 4,700 channel partners and their reach across more than 180 countries. And lastly, this will provide RingCentral with a new driver for long-term growth.”</span></p><p><span style="color:inherit;"><span><br></span></span></p><p><span style="font-size:12pt;">Michael Finneran, a principal at dBrn Associates, said there’s been a lot of talk about a </span><a href="https://www.channelpartnersonline.com/2019/08/21/mitel-acquiring-avaya-would-create-direct-cisco-microsoft-rival/"><span style="font-size:12pt;">Mitel acquisition of Avaya</span></a><span style="font-size:12pt;"> or a move back to private equity financing, but “with its strong brand recognition and blue chip installed base, Avaya is right to stay independent.”</span></p><p><span style="font-size:12pt;">“The deal with RingCentral allows them to remain independent, address some of its financing challenges through the RingCentral investment and link up with one of the leaders in the UCaaS space to accelerate its much needed shift to the cloud,” he said. “As in all of these moves, success will depend on the execution. Consolidation has been the key theme in the business telephony/UC/team collaboration and contact center businesses, and the Avaya-RingCentral deal seems to draw a new angle to the same goal without a full-blown combination.”</span></p><p><span style="color:inherit;"><span><br></span></span></p><p><span style="font-size:12pt;">Raul Castanon, 451 Research’s senior analyst of workforce collaboration, said the agreement is a win-win for both, but RingCentral is the big winner because it will gain direct access to Avaya’s “enormous client base, many of which are due to move to the cloud in the near to medium term.”</span></p><p><span style="color:inherit;"><span><br></span></span></p><p><span style="font-size:12pt;">“They also get access to Avaya’s sales channel, significantly expanding their reach into global markets,” he said. “It’s a good option to Avaya because one of their most valuable assets is their client base and they found a way to derive value from them in a creative way that benefits their customers as well. It puts RingCentral in a good position to accelerate their growth and benefit from the shift to the cloud. That would be $20 or $22 per Avaya share, according to people familiar with the matter. The Nasdaq listed Avaya’s stock price at $19.26 as of Friday afternoon.</div><p style="text-align:left;"><br></p><div style="text-align:left;">Avaya emerged from chapter 11 bankruptcy and went public a year-and-a-half ago, vowing to develop a reputation in the cloud and drive sales with its master agent program. Reuters reported recently that a private-equity firm had offered Avaya a $5 billion buyout.</div></div>

Mitel’s offer Polycom was $1.96 billion, slightly lower than its current reported Avaya bid.</div><p><span style="color:inherit;"><br></span></p><div>Mitel went on to buy assets from Toshiba’s UC unit and buy ShoreTel for $530 million the next year. The company then went private last year when Searchlight Capital Partners bought it.</div><div><span style="color:inherit;"><div>Michel Finneran, principal of dBrn Associates, noted that Avaya brings $3 billion in debt to the table, but the companies complement each other in terms of customer base and technology portfolio.</div><div><br></div><div>“At face value the combination appears reasonable given Avaya’s presence among large businesses versus Mitel’s SMB focus,” Finneran told Channel Partners. “Avaya is a major presence in the contact center business and boasts a significant installed base; however, Mitel has been more aggressive in making the shift to the cloud.”</div><div><br></div><div>Finneran said industry observers might view such a merger as “a sign of weakness.”</div><div><br></div><div>“For many users, desk phones have become an anachronism with the shift to mobile and business applications like Salesforce that incorporate many of the same communication capabilities. More importantly, the real developments in the space, particularly the move to team collaboration, is being driven by Microsoft, Cisco and out-of-the-blue suppliers like Slack and Zoom,” he said.</div><div><br></div><div>Analyst Dave Michels wrote on TalkingPointz that he wasn’t surprised by the report. He said that both companies are rushing to make a move to appease shareholders and that Avaya’s large customer base is very attractive to prospective buyers. Some suitors think they can accelerate Avaya’s transformation faster than Avaya can, according to Michels.</div><div><br></div><div>“Avaya is transforming itself in many ways, but lagging in its public cloud offer. [Private equity] types that think they can transform Avaya faster than Avaya will itself see dollar signs here.
